1. Agreement Overview

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and SummitPoint LLC, a Service-Disabled Veteran-Owned Small Business (SDVOSB), governing your use of the SharePoint Commander Tool (the "Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

2. Grant of License

SummitPoint LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Software solely for your internal business purposes in accordance with this Agreement and any applicable documentation.

3. License Restrictions

You may not:

Reverse engineer, decompile, disassemble, or attempt to discover the source code.
Modify, adapt, translate, or create derivative works of the Software.
Rent, lease, sublicense, distribute, or transfer the Software to any third party.
Use the Software to operate a service bureau or for time-sharing purposes.
Circumvent or attempt to defeat any license control mechanisms.

4. Ownership and Intellectual Property

The Software is licensed, not sold. All title, ownership rights, and intellectual property rights in and to the Software (including but not limited to source code, UI, documentation, reports, and visuals) remain exclusively with SummitPoint LLC.

The Software and its content are protected by U.S. and international copyright, trademark, and intellectual property laws.

5. Subscription and Termination

The license remains valid until terminated or expired.

Termination may occur if:

You breach any terms of this Agreement;
The subscription period expires (if applicable);
SummitPoint LLC revokes the license for noncompliance.

Upon termination:

You must immediately cease all use of the Software.
You must delete all copies of the Software in your possession.

6. Updates and Modifications

SummitPoint LLC may provide updates or enhancements to the Software. These are subject to the same license terms unless accompanied by a separate license.

We reserve the right to discontinue the Software or any portion thereof at any time, without liability.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND.
SUMMITPOINT LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OR RELIABILITY OF RESULTS

You assume all risks associated with the use of this Software.

8. Limitation of Liability

IN NO EVENT SHALL SUMMITPOINT LLC OR ITS OFFICERS, EMPLOYEES, AFFILIATES, OR PARTNERS BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
LOSS OF PROFITS OR BUSINESS INTERRUPTION
LOSS OF DATA OR INFORMATION

TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE.

9. Indemnification

You agree to indemnify, defend, and hold harmless SummitPoint LLC from any claims, damages, losses, or expenses (including attorneys' fees) arising out of:

Your use or misuse of the Software;
Violation of this Agreement;
Infringement of any third-party rights.

10. Export Control

You agree not to export, re-export, or transfer the Software in violation of any applicable export laws or regulations, including those of the United States.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Maryland, without regard to conflict of law provisions.

All disputes shall be resolved in the state or federal courts located in Maryland, and you consent to jurisdiction therein.

12. Severability

If any provision of this Agreement is held to be unenforceable, the remainder of the Agreement shall remain in full force and effect.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and SummitPoint LLC regarding the Software and supersedes all prior agreements, understandings, and communications.

14. Modifications to the Agreement

SummitPoint LLC reserves the right to amend or update this Agreement at any time.

Your continued use of the Software constitutes your acceptance of any changes.

15. Acknowledgment

By installing, copying, or using the Software, you acknowledge that:

You have read and understood this Agreement.
You agree to be bound by its terms and conditions.
